Partner Program Terms

Last updated: 13 October 2026

These Partner Program Terms (“Partner Terms”) explain how the Ordina Partner Program (the “Program”) works. The Program is run by Ordina Ltd (“Ordina,” “we,” “us,” or “our”), a company based in Lagos, Nigeria.

In these Partner Terms:

  • a “partner” (“you”) is a person or organisation we have invited to refer businesses to Ordina;
  • a “payment” is a payment a business makes to Ordina for its Ordina subscription plan;
  • a “referral” is a business that has become linked to you under section 4;
  • your “share” is the percentage of a payment that you earn.

These Partner Terms add to Ordina’s Terms of Service, which also apply to your use of Ordina, including the partner dashboard. If the two disagree about the Program, these Partner Terms apply. Our Privacy Policy explains how we handle partners’ information.

1. Joining the Program

1.1 The Program is by invitation only. You cannot sign up yourself. Ordina adds you as a partner and emails you an invitation.

1.2 An invitation link works for 14 days. If it expires, ask your Ordina contact to send a new one. A new invitation replaces any earlier one.

1.3 To join, open the link in your invitation, sign in to Ordina with the email address the invitation was sent to (we email you a one-time sign-in code), and choose “Accept invite”. Signing in without the invitation link does not make you a partner. The invitation email and the accept page link to these Partner Terms, and by accepting the invitation you agree to them.

1.4 After you accept, you set up your partner account: a photo of yourself, your full name, your country, a phone number and how you will refer businesses, and, if you like, a partner name, a logo, a company name and a website or social page. We review these details. Your partner dashboard opens once we approve them; if something needs changing, we send them back to you with a note. Your country decides the currency you are paid in (section 9.1).

1.5 Until you accept and we approve your details, you can already earn from businesses that pay using your share link or codes, but you cannot add payout details or request a payout.

1.6 Your partner sign-in is only for the Program. An email address that runs a business on Ordina, or that is a member of a business’s team, cannot be a partner, and a partner sign-in cannot set up a business or join a team. If you also want to run a business on Ordina, use a different email address for it.

1.7 If you accept an invitation for an organisation, you confirm that you are authorised to bind that organisation to these Partner Terms, and “you” then means that organisation.

2. Your partner account

2.1 You sign in with a one-time code sent to your email address. To add or change payout details, or to request a payout, you must first turn on two-step sign-in with an authenticator app. Your earnings are paid to whoever controls your account, so keep your email account and your authenticator secure.

2.2 We send partner emails to your partner email address. To change it, email help@useordina.com. When it changes, we tell your old address. Changing it does not change the account you sign in with.

2.3 You can update your partner name and company name in your partner dashboard settings. To change your country or the other details you gave at setup, email help@useordina.com.

2.4 If your Ordina account is suspended, you cannot use the partner dashboard, save payout details or request payouts while it is suspended. If the account you sign in with is deleted, you can no longer sign in; we can send you a new invitation to link a new account, and what you earned stays recorded.

3.1 Share link. Your partner dashboard shows your share link. When someone opens it, we record the visit with a cookie in their browser that lasts 90 days from their latest click on a partner link. If they create an Ordina account in that browser while the cookie lasts, the signup is recorded as coming through your link. If they click a different partner’s link after yours and before they sign up, the later link replaces yours. We cannot record a signup through your link if the cookie is blocked or cleared, if they sign up on a different device or browser, or if they sign up after the cookie has expired.

3.2 A share link only works for businesses that do not have an Ordina account yet. A business that already has an account can only be linked to you by a code.

3.3 A signup through your link does not by itself make the business your referral. It becomes your referral only if it later makes its first payment and section 4 gives it to you.

3.4 Codes. Ordina creates partner codes for you; ask your Ordina contact if you would like one. A code gives a business a discount or a free trial, as described in your dashboard. Every discount applies to the business’s first payment only. A code can be limited to a plan, a billing period, a number of uses or an end date. Partner codes are set by default to work only for businesses that have never paid Ordina.

3.5 We may change a code’s limits, or deactivate or archive a code, at any time. A deactivated or archived code cannot be applied by new businesses; businesses that already became your referrals through it are not affected.

3.6 You cannot apply your own code to your own business.

4. How a business becomes your referral

4.1 A business becomes a referral when it makes its first paid payment to Ordina. Until then, a signup through your link or a code the business has applied is only a candidate.

4.2 At that first payment, we look at the following, in this order, and the first one that qualifies decides which partner the business belongs to:

(a) a partner code used on that first payment;

(b) the most recent partner code the business used earlier to start a free trial or a free period without paying;

(c) the partner share link the business signed up through.

4.3 A candidate qualifies only if, on the date of that first payment, its partner was not paused and the partnership had not ended, and the business is not the partner’s own business (section 4.7). If a candidate does not qualify, we try the next one. If none qualifies, the business is not anyone’s referral, permanently.

4.4 This means a code comes before a link. If a business signed up through your link but makes its first payment with another partner’s code, it becomes that partner’s referral and you do not earn from it.

4.5 A business is linked to one partner, once, for good. After its first payment, nothing changes which partner it belongs to. A later code from another partner only gives the business its discount.

4.6 A business that has paid Ordina before, including a business billed through Shopify, can never become a referral.

4.7 Your own business cannot be your referral. We treat a business as your own when it is the Ordina account you sign in with, or when its sign-in email address is your partner email address. A signup through your link by your own business is not recorded, and your own codes are refused for it. Other signs of a connection lead to a review instead (section 8).

4.8 Some payments reach us late from the payment provider. Every rule in these Partner Terms that depends on a date (including pauses and endings) uses the date the payment was actually made, not the date we processed it.

5. What you earn

5.1 You earn your share of every successful payment a referral makes to Ordina: its first payment, every renewal and every upgrade payment, for as long as it remains your referral. If a referral’s plan lapses and the business pays again later, those payments earn your share too.

5.2 Ordina sets your share and shows it in your partner dashboard. A code can carry its own share, which then applies to businesses that became your referrals through that code.

5.3 Your share is worked out on what the business actually paid Ordina for that payment, after any discount and excluding any taxes, in the currency it paid in, less any part of it that was refunded. Payment provider fees are not deducted first.

5.4 Each earning is rounded to the smallest unit of its currency: two decimal places for most currencies, and whole amounts for currencies that have no smaller unit, such as UGX. An earning that rounds to zero is not created.

5.5 Each earning keeps the share it was recorded at, for good. If we change your share, or a code’s share, we show the change in your partner dashboard. The new share, including a lower one, applies only to earnings we record after the change; it never changes earnings already recorded.

5.6 Each earning is recorded in the currency of the payment, and your partner dashboard shows a separate balance for each currency, as earned. We only convert money when we send you a payout (section 10.6).

6. What does not earn

You earn nothing from:

  • free trials and free periods, including a code that covers the whole first payment, until the business makes a paid payment;
  • failed or unpaid payments, and the refunded part of any payment;
  • money a business collects from its own customers through Ordina, such as booking and order payments;
  • Phone balance top-ups;
  • payments billed through Shopify, because Shopify does not give us the details of each payment;
  • payments made while your account is paused (section 13), on or after the moment your partnership ends, or on or after the moment a referral ends (section 14);
  • payments from your own business.

7. The 30-day hold

7.1 Each earning is on hold for 30 days from the date of the payment.

7.2 After 30 days, an earning becomes available once we have re-checked the payment with the payment provider and found no refund or dispute, and the referral is not under review (section 8). If we cannot complete the check, the earning stays on hold until we can.

7.3 We make earnings available once a day, and also when you request a payout.

7.4 If a payment is refunded while its earning is on hold, the earning is reversed (section 12).

8. Referrals under review

8.1 We put a referral under review when something suggests that the business may be your own or connected to you, including when:

  • the business’s contact email address is your partner email address;
  • the business signed up, or applied your code, in a browser you have used to sign in as a partner;
  • your payout details match the business’s own payout account, verified name or phone number.

8.2 A referral under review still earns, but its earnings stay on hold and are left out of your payout requests until we clear the review. If we decide the business is not a genuine referral, we may end the referral instead (section 14.1).

8.3 A payout that includes earnings from a referral that has come under review is not approved or sent until the review is cleared, unless the money had already been sent.

9. Your payout currency and minimums

9.1 You are paid in one currency, set by your country: Nigerian naira (NGN) if you are in Nigeria, and US dollars (USD) everywhere else. A payout to a stablecoin wallet is always in USD (section 11.1).

9.2 We keep a separate balance for each currency your referrals pay in, and show each one as earned. For example, a partner in Nigeria whose referrals pay in naira and in dollars sees a naira balance and a dollar balance.

9.3 While you are an active partner, you can request a payout once any one of your available balances reaches its own minimum:

  • USD: 50
  • NGN: 50,000
  • Any other currency: the minimum we set for it, if any.

We never add balances in different currencies together to reach a minimum. Once one balance reaches its minimum, your request includes your other balances above zero as well (section 10.2). A balance in a currency with no minimum is paid out together with the others, but cannot open a request by itself.

9.4 We may change a minimum. A payout you have already requested keeps the minimums that applied when you requested it.

9.5 Balances carry over with no time limit. There is no monthly payout schedule: you decide when to request a payout.

9.6 Minimums do not apply once your partnership has ended (section 14.3) or the Program has ended (section 20.4).

10. Requesting a payout

10.1 You can request a payout when all of these are true:

  • you have accepted your invitation and we have approved your partner details;
  • your account is not paused and not suspended;
  • two-step sign-in is turned on;
  • you have saved your payout details (section 11);
  • at least one of your available balances has reached its minimum or, if your partnership has ended, at least one is above zero;
  • you have no other payout request open.

10.2 A request always covers the whole available balance of every currency that is above zero at that moment, including refund adjustments (section 12) and amounts added back from won disputes. You cannot request part of it. A balance at zero or below zero stays behind, and its refund adjustments come off that currency’s next earnings.

10.3 You can cancel a request until we approve it; the amount then goes back to your available balances. Once we approve a request, we may already be sending the money, so it can no longer be cancelled, and your payout details are locked until it has been paid. If those details are wrong, email help@useordina.com straight away.

10.4 We review each request. We send approved payouts by hand, in your payout currency, to the payout details you saved, within 10 business days of approval, and we email you once the money has been sent. Depending on your bank, it can take a few more business days to arrive; a stablecoin transfer usually arrives within minutes.

10.5 We may decline a request and tell you why; the amounts then go back to your available balances. We also return a request to you automatically when a payment in it is refunded, or when a refund adjustment or a won dispute changes your balance. You can then request again.

10.6 Exchange rates. Exchange rates change, so we do not set or promise a rate in advance. If your request includes a balance in a currency other than your payout currency, we convert it on the day we send the payout, at the rate we get for that transfer. Once the payout is sent, your partner dashboard and our email show the rate used for each currency converted, the amount before the fee, the processing fee and the amount sent.

10.7 Processing fee. The processing fee for sending your payout is taken off the amount we send. Any fees your own bank charges you to receive the money are yours.

10.8 If you also work for Ordina and have access to its admin tools, someone else at Ordina must approve and send your payouts.

11. Payout details

11.1 You keep one way of being paid at a time, of a kind your country allows:

  • Nigeria: a Nigerian bank account, paid in NGN, or a stablecoin wallet, paid in USD;
  • United States: a US bank account, paid in USD by ACH, or a stablecoin wallet;
  • Everywhere else: a bank account that accepts US dollars, paid in USD by international transfer (SWIFT), or a stablecoin wallet.

A stablecoin wallet means a USDC or USDT address on Solana or BNB Smart Chain. Make sure the address and the network are right: a transfer on a blockchain cannot be reversed.

11.2 You need two-step sign-in turned on to add or change payout details. We email you every time they change.

11.3 Saving new details withdraws any request we have not approved yet, so it is not sent to the old details. You can request again straight away.

11.4 If you replace details you had already saved, we can only send a payout to the new details once 72 hours have passed since the change. There is no wait for the first details you save.

11.5 You cannot change your details while a payout to them is approved.

11.6 We may contact you to confirm your payout details before we send money, including by phone or WhatsApp on a number you have given us.

11.7 We compare your payout details with the businesses you refer (section 8).

11.8 You are responsible for making sure your payout details are correct. If we send a payout to the details you saved and they turn out to be wrong, the loss is yours, but we will help you try to recover the money from the receiving bank or provider.

12. Refunds and chargebacks

12.1 You keep no share of money Ordina gives back to a business. What happens depends on whether we have already paid you your share of that payment.

12.2 Not paid to you yet (the earning is on hold, available, or in a request we have not approved): the earning is reversed. If only part of the payment was refunded, we record a new earning on the part the business kept, at the same share and with the same dates. If the earning was in a payout request, we return the request to you so you can request again.

12.3 Already paid to you: your share of the refunded part (your whole share, for a full refund) is taken off your available balance as a “refund adjustment”, in the currency of the payment. In plain words: a refund after you were paid comes off your future earnings. Any request we have not approved yet is returned to you, so your next request is net of the adjustment.

12.4 If a payment is refunded while a payout that includes it is being sent, we either stop that payout and return it to you (and the refunded share is reversed), or, if the money had already left, we complete it and the refunded share comes off a later payout as a refund adjustment.

12.5 Refund adjustments can take a currency’s available balance below zero. A balance below zero cannot open a request or go into one, and new earnings in that currency cover the shortfall first. We never invoice you for a negative balance or ask you to pay it back: it is only ever recovered from your future earnings, and if there are none, it stays negative.

12.6 A chargeback (a business disputing a payment with its bank) is treated like a refund. If we later win the dispute, your share of the money returned to us is added back: an unpaid earning is restored, or, if you had already been paid, a “Dispute won” amount is added to your balance and goes into your next payout. An earning we reversed under section 16.3 is not restored.

12.7 These rules apply whether your account is active, paused or ended.

12.8 We re-check each payment with the payment provider before its earning becomes available, and we check the payment providers for new refunds and chargebacks every day. So a refund is applied even if it is made long after you were paid.

12.9 A refund of a business’s first payment does not undo the referral.

13. Pauses

13.1 We may pause your partner account, for example if you breach these Partner Terms, if we suspect fraud or abuse, or if the law requires it. A pause starts the moment we make it. We email you when we pause your account, with a reason where we give one, and again when we resume it. Your partner dashboard shows the dates of every pause.

13.2 While your account is paused:

(a) You earn nothing from payments your referrals make while you are paused. These earnings are not recovered: they are not added later, even after your account is resumed.

(b) No new business becomes your referral. A business whose first payment is made while you are paused goes to the next partner in the order in section 4.2 (for example, another partner whose code or link it used), or to no partner. It never becomes your referral later.

(c) Your codes do not work. They work again when your account is resumed. A business that had already started a checkout with your code before the pause still gets the discount, but that payment cannot make it your referral.

(d) Payouts are on hold: you cannot request one, and a request you made earlier cannot be approved or paid until your account is resumed.

13.3 What you keep: earnings from payments made before the pause keep maturing and stay yours. Refund adjustments still apply (section 12).

13.4 When we resume your account, you earn from payments made from that moment on, new businesses can become your referrals again, your codes work again, and payouts start again, including any request that was waiting. A business that signed up through your link while you were paused, and makes its first payment after you are resumed, can become your referral.

13.5 Whether a payment falls inside a pause is decided by the date the payment was made, not by when we process it (section 4.8).

14. Ending a referral or the partnership

14.1 Ending a referral. We may end a referral, for example if we decide the business is not a genuine referral, or for the reasons in section 16. You then earn nothing from that business’s payments made after it ended; earnings from its earlier payments stand. Your dashboard shows that the referral ended.

14.2 Ending the partnership. We may end your partnership, for example if you breach these Partner Terms, if we suspect fraud or abuse, or if the law requires it, and we tell you the reason. Ending is permanent. From the moment it ends:

  • payments made from that moment on earn you nothing, and no new business becomes your referral (a first payment made before the end still counts, even if we process it later, and earns you that one payment);
  • all your codes stop working at once.

14.3 You keep what you earned. Earnings from payments made before the end keep maturing, less any refund adjustments, and you can request a payout of your balances above zero, with no minimum, in the usual way (section 10).

14.4 If your partnership ends before you have accepted your invitation, and you have a positive balance, we can send you an invitation so that you can join to collect it.

14.5 A negative balance is not invoiced when a partnership ends (section 12.5).

14.6 You can leave the Program at any time by emailing help@useordina.com. We then end your partnership as this section describes, and you keep what you earned.

15. What you see about the businesses you refer

15.1 For each referral, your partner dashboard shows: the business name; its plan and billing period; its status (Active, Payment due, Cancelling, Free period or Lapsed); the date and amount of each of its payments; its next renewal date; your share and what you earned from each payment; and any refund that affected your earnings.

15.2 Before a business has paid, you see the names of businesses that signed up through your link, and of businesses on a free trial started with your code, with whether they are signed up, on a trial or their trial has ended. A business that has only applied your code is shown as a count, not by name. A business that has paid Ordina before is not shown.

15.3 You never see a business’s contact details: not its email addresses, phone number, address, the owner’s name, or the address of its Ordina page.

15.4 If a referred business deletes its Ordina account, your earnings from it stay.

15.5 Keep what your partner dashboard shows about businesses (such as their plans, status, payment dates and amounts) confidential, and use it only to take part in the Program.

16. Promotion rules, fraud and abuse

16.1 When you promote Ordina, you must not:

  • bid on “Ordina” or similar terms in search engine advertising;
  • make misleading claims about Ordina, or claims that Ordina does not make itself, for example about its features, prices or results;
  • send spam or unsolicited messages, or break the rules on messages in the Terms of Service or any anti-spam law;
  • break advertising disclosure laws: where they require it, make clear that you may earn from referrals.

16.2 You must not refer your own business, create fake or incentivised sign-ups, misuse codes, or try to manipulate the Program in any other way.

16.3 If we believe you have broken these Partner Terms, or we find fraud or abuse, we may put your referrals under review, reverse any of your earnings that have not been paid yet (you will see the reason), decline a payout request, end a referral, pause your account or end your partnership. We may also reverse an unpaid earning that we recorded in error.

17. Taxes and our relationship

17.1 You are responsible for any taxes on what you earn and for reporting your earnings. We do not withhold tax from payouts at present.

17.2 Your earnings are not a wage, a fee for services or guaranteed income. “Partner” is the name of the Program: being an Ordina partner does not make you our employee or agent, and does not create a legal partnership or joint venture between you and Ordina.

18. Emails we send you

We email your partner email address about your partner account, including: your invitation, the review of your partner details, new codes, a business’s first payment, renewals and upgrades, when you can request a payout, payout requests, payouts sent, requests returned or declined, changes to your payout details, reversed or restored earnings, refund adjustments, and pauses, resumptions and endings. Changes to your share are shown in your partner dashboard.

19. Our records

We work out referrals, earnings and balances from our own payment records, which are final unless there is an obvious error. If we find an error, we correct it. You can download your earnings as a CSV file from your partner dashboard. If you think something is wrong, email help@useordina.com.

20. Changes and ending the Program

20.1 We may change these Partner Terms. We will email you at least 30 days before a material change takes effect, and post the new version on this page with a new “Last updated” date. If you take part in the Program after a change takes effect, you accept the changed Partner Terms; if you do not agree, you can leave (section 14.6).

20.2 We may change your share, a code’s share, or a payout minimum, as described in sections 5.5 and 9.4.

20.3 We may change or suspend the Program, and end any partner’s participation in it as section 14 describes.

20.4 We may end the Program. If we do, we will tell you by email, and payments made after the Program ends earn nothing. Earnings already recorded finish their 30-day hold, and within 60 days of the end we pay every partner everything they have earned, less refund adjustments, even if it is below the minimum. If we do not have payout details for you, we will ask you for them.

21. Liability and governing law

The Disclaimers, Indemnification and Governing law sections of the Terms of Service apply to the Program. Its Limitation of liability section also applies, except that Ordina’s total liability to you for any claim relating to the Program is limited to the greater of the amounts Ordina paid you under the Program in the 12 months before the claim and USD 100. This does not limit our obligation to pay you what you have earned under these Partner Terms. These Partner Terms are governed by the laws of the Federal Republic of Nigeria.

22. Your information

Our Privacy Policy explains the information we keep about partners and referrals, the referral cookies described in section 3.1, what partners see about the businesses they refer, and how long we keep Partner Program records.
